Terms of Service & SaaS SLA Agreement
Last Revised: September 2, 2026 // This legally binding agreement governs your access to SynapseGEO Generative Engine Optimization infrastructure, 4-tier SaaS plans, and Affiliate Program Terms.
1Acceptance of Terms & Contracting Entities
By creating an account, accessing the SynapseGEO platform, deploying Edge Interception workers, or utilizing our LLM observability APIs, you enter into a legally binding agreement and irrevocably agree to be bound by these Terms, our Privacy Policy, Refund Standard, and Affiliate Terms. If accessing on behalf of an entity, you warrant full authority to bind said entity to these Terms.
2Service Scope & Domain Ownership Verification
SynapseGEO provides generative engine optimization (GEO), edge proxy interception, and multi-model factual hallucination defense. Users may only activate domains for which they hold verifiable ownership via RFC DNS TXT challenge. A domain can belong exclusively to one tenant. SynapseGEO reserves the unilateral right to suspend any domain infringing third-party trademarks or disseminating fraudulent data.
3Subscription Tiers, Merchant of Record & Grandfathering Policy
3.1 Merchant of Record Compliance:
All financial transactions and recurring subscriptions are processed via Lemon Squeezy acting as Merchant of Record (MoR). Lemon Squeezy handles global sales tax/VAT compliance and executes automated recurring subscription renewals.
3.2 Canonical Subscription Tiers:
- Free Tier ($0/mo): 1 Domain, 50 Probes, Basic Telemetry (No autonomous llms.txt generation).
- Starter Engine ($49/mo | $39/yr): 1 Verified Domain, 500 Probes, llms.txt CDN + Schema Packager.
- Growth Engine ($149/mo | $119/yr): 3 Domains, 2,000 Probes, Autonomous Edge Proxy Worker, Competitor Gap Matrix.
- Enterprise Autonomous ($399/mo | $319/yr): 10 Domains, 8,000 Probes, White-Label Client Reports, REST API, 99.99% SLA.
3.3 Right to Amend Pricing, Features & Tier Structure:
SynapseGEO explicitly reserves the unilateral right to adjust subscription prices, modify feature quotas, or discontinue any tier at its sole discretion. For active recurring subscribers, SynapseGEO shall provide a minimum of thirty (30) days advance email notice before applying any price modifications to subsequent renewal cycles. The client retains the right to cancel renewal prior to the effective date.
4Intellectual Property & Manifest Delivery
Clients retain 100% intellectual property ownership over their brand data and pricing models. SynapseGEO grants an unrestricted license to deploy generated llms.txt manifests and schema graphs. SynapseGEO retains exclusive proprietary ownership over its underlying source code, algorithmic ranking synthesizers, and Edge Worker architectures.
5Free Tier Governance & Feature Gating
The Free Tier is restricted strictly to basic AI radar probing, crawler observation, and DNS verification for one (1) single domain. Autonomous manifest publishing, Edge Proxy interception, schema injection, and competitor gap displacement tools require an active paid subscription. SynapseGEO reserves the absolute right to modify Free limits or terminate inactive Free accounts dormant for >90 days without prior notice.
6Affiliate Program, Anti-Fraud & Tax Invariants
- Progressive Commission Ladder: Bronze 10% (1-4 clients), Silver 15% (5-14 clients), and Gold Master 20% (15+ clients, absolute ceiling cap).
- 12-Month Lifetime Limit: Commissions are paid for a maximum of 12 recurring billing cycles per active subscriber.
- Anti-Self-Referral Prohibition: Self-referrals, internal multi-accounting, and buying plans via one's own link are strictly prohibited and result in immediate forfeiture of unpaid balances and account termination.
- 30-Day Holding Period & $100 Payout Minimum: Commissions remain in holding for 30 days to verify zero chargebacks. Minimum payout request balance is $100.
- Mandatory Tax Certification: Affiliates must have a verified Form W-8BEN or Form W-9 on file before payout disbursement to satisfy global compliance.
7Third-Party AI Engine Volatility & No Ranking Guarantee
SynapseGEO provides technical optimization infrastructure to optimize AI crawler comprehension. You explicitly acknowledge that SynapseGEO does not control third-party LLMs (OpenAI, Google, Anthropic, Perplexity). SynapseGEO makes NO guarantee of specific citation rankings. SynapseGEO disclaims all liability for downstream traffic variations or algorithmic shifts implemented by external AI search engines.
8Acceptable Use, Anti-Scraping & Reverse Engineering Ban
You shall not: (a) reverse engineer, decompile, or extract proprietary source code from SynapseGEO; (b) deploy automated bots to scrape benchmark data to train competing AI tools; (c) utilize SynapseGEO to optimize deceptive or unlawful content. Violations result in immediate permanent termination without compensation.
9Limitation of Aggregate Liability
To the maximum extent permitted by applicable law, SynapseGEO shall not be liable for any indirect, incidental, special, or consequential damages. SynapseGEO's total cumulative liability arising under these Terms shall strictly not exceed the total fees paid by the client during the three (3) months preceding the incident.
10Client Indemnification Obligation
The client agrees to defend, indemnify, and hold harmless SynapseGEO and its officers against all third-party claims, losses, or legal fees arising from the client's domain content, intellectual property infringement, or breach of these Terms.
11Service Level Agreement & Upstream Outages
SynapseGEO commits to 99.99% monthly Edge availability for Growth and Enterprise subscriptions. SLA credits expressly EXCLUDE upstream third-party API outages (OpenAI, Anthropic, Google Cloud), scheduled maintenance, and Force Majeure events.
12Rate Limiting, Traffic Spikes & System Defense
SynapseGEO reserves the right to throttle, queue, rate-limit, or temporarily suspend traffic from any domain or workspace causing abnormal server strain, DDOS-like traffic spikes, or continuous probing that jeopardizes multi-tenant infrastructure stability, regardless of theoretical quota allowances.
13Unilateral Right to Amend Terms, Policies & Specifications
SynapseGEO reserves the exclusive, unilateral right to modify, amend, update, or replace any provision of these Terms of Service, Privacy Policy, Refund Standard, SLA, or technical service specifications at its sole discretion at any time.
Modifications take effect immediately upon publication on the platform with an updated revision date. Your continued access to or use of SynapseGEO following the posting of any revisions constitutes conclusive, legally binding acceptance of the updated Terms.
14Governing Law, Binding Commercial Arbitration & Class Action Waiver
These Terms shall be governed by international commercial cloud software trade principles. Unresolved disputes following a 30-day negotiation shall be submitted exclusively to binding commercial arbitration. You explicitly waive all rights to initiate or participate in class action lawsuits. If any provision is deemed unenforceable, it shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect (Severability).
